GENERAL TERMS AND CONDITIONS OF SALE

1. Introduction

These General Terms and Conditions ("GTC") govern the rights and obligations between theseller – AlfaWolf s.r.o., Company ID (IČO) 27846369, VAT ID CZ27846369, registered officeVratimovská 274, 739 34 Václavovice, Czech Republic, registered in the Commercial Register(the "Seller"), operating the Průmyslové klávesnice brand and the websiteprumyslove-klavesnice.cz – and the buyer, for the sale of goods.The buyer expressly waives its own terms and conditions, even if drawn up after these GTC.Any derogation is valid only if expressly agreed in advance in writing.

2. Orders and conclusion of contract

The purchase contract is concluded upon the Seller's confirmation of the order. Informationprovided by the buyer in the order is deemed correct.

3. Price and payment terms

Unless otherwise stated on the invoice or order, invoices are payable within 14 days of the invoice date. In the event of late payment, the Seller is entitled to contractual defaultinterest of 0.05% of the outstanding amount for each commenced day of delay. If the delayexceeds 60 days, the Seller may refer the receivable for debt recovery; reasonable recoverycosts are borne by the buyer. The Seller may suspend further deliveries until full payment.

4. Retention of title

Delivered goods remain the exclusive property of AlfaWolf s.r.o. until the purchase price ispaid in full (Sec. 2132 et seq. of the Czech Civil Code). The risk of damage to the goodspasses to the buyer upon receipt of the goods.

5. Delivery

The Seller will use its best efforts to deliver properly and on time within the agreedtimeframes. Stated timeframes are indicative and do not constitute an obligation to achievea result unless expressly agreed otherwise.

6. Defect claims

To be admissible, any claim must be notified to the Seller in writing (by registered letterto its registered office) within 8 days of delivery, unless otherwise agreed. Statutoryconsumer rights are not affected.

7. Liability

The Seller cannot be held liable by the buyer as a third party in any claim for damagesfiled against the buyer by an end customer.

8. Personal data

Processing of personal data is governed by the Privacy Policy available on the Seller'swebsite.

9. Governing law and disputes

All contractual relations are governed exclusively by the law of the Czech Republic.Disputes shall be decided by the competent courts of the Czech Republic.

10. Final provisions

These GTC take effect on the date of publication. The Seller may amend them; for an alreadyconcluded contract, the GTC in effect on the order date apply.
